NAVAN, INC. EDGE EVENT PROMOTIONS TERMS AND CONDITIONS

1.  Definitions. 

Booking Period: means the relevant booking dates for a hotel stay or a flight as identified in the chart above for the specified Event. Event: means the name of an individual Event or meeting identified in the above chart. Navan Edge: means Navan's AI-powered personal travel assistant platform. Navan Edge First User Terms: means the terms applicable to Navan Edge’s $25 First User Promotion available at [https://navan.com/terms/edge-usd25-first-users-promotion-terms-and-conditions].  Navan Reward Points: means the points issued under the Navan Rewards program, subject to the applicable Navan Rewards terms and conditions available at https://navan.com/terms/edge-services-agreement. Participant: means an eligible user who has never had any type of account with Navan and who uses the relevant link for the applicable Event above to sign up for Navan Edge during the Promotion Period and before making a Qualifying Booking. Promotion: means a single promotion for an individual Event, including the applicable Promotion Specific Terms. Promotion Period: means the relevant time period for a particular Promotion as identified in the chart above for the specified Event. Promotion Specific Terms: means these Navan Edge Event Terms along with the relevant Qualifying City, Promotion Period and Booking Period that are identified in the chart above and that apply to a particular Event. Qualifying Booking: means a booking made by a Participant via Navan Edge for (a) a hotel stay occurring within the Booking Period in the Qualifying City, where the hotel stay must be completed within the Booking Period to be considered a Qualifying Booking, or (b) a flight to or from the Qualifying City, where the flight must depart or arrive within the Booking Period. Only one Qualifying Booking is required per Participant. Qualifying City: means the name of the relevant city identified in the chart above for the specified Event. Reward: means (1) $25.00 USD (twenty-five dollars) in Navan Reward Points that Participants receive upon meeting the requirements of the Navan Edge First User Terms plus (2) $75.00 USD (seventy-five dollars) in Navan Reward Points for participating in a Promotion.  Limit one Reward per Participant.  Participants are not eligible for multiple Event Promotions. 

2. Agreement to Terms. By participating in the Promotion (including by accepting any Reward), you agree to be bound by these Terms and Conditions ("Terms"), which incorporate by reference the applicable Promotion Specific Terms, the Navan Edge First User Terms and by the decisions of Navan, Inc. ("Sponsor" or “Navan”), which are final and binding on all matters. Sponsor reserves the right to modify the Promotion and its procedures at any time and at its sole discretion. If you do not agree to these Terms, you may not participate in the Promotion or receive the Reward.

3. Participation. Eligible Participants who make a Qualifying Booking during the Promotion Period will be given the Reward.  Limit one Reward per Participant.  Participants are responsible for the entire cost of their bookings, including applicable federal, state, and local taxes, transportation costs, meals, gratuities, and all other expenses incurred.

4. Promotion Period. To be eligible for the Promotion, Participants sign up for Navan Edge and must make and complete the Qualifying Booking during the Promotion Period. Sponsor's systems are the official time reference for the Promotion Period.

5. Eligibility. To be eligible for the Promotion, Participants must (i) be 18 years of age or older (or the age of majority in their jurisdiction of residence, whichever is greater) at the time of sign-up for Navan Edge, (ii) be a legal resident of the United States and reside in the United States with a valid US address and (iii) must never have held a Navan account of any kind.  Employees of Navan, its subsidiaries, affiliates, advertising and promotion agencies, and suppliers, as well as their immediate family members (spouse, parents, children, siblings, and their respective spouses) and household members (whether or not related) are not eligible. The Promotion is void where prohibited or restricted by law, and all applicable federal, state, and local laws and regulations apply. If a Participant does not meet any eligibility requirement or fails to comply with these Terms, the Participant is not eligible to receive any Reward, and any Reward previously issued in connection with the Promotion may be revoked or forfeited at Sponsor's sole discretion.

6. Receipt of the Reward. Eligible Participants will receive the Reward in their Rewards balance after the Qualifying Booking has been made and completed. If a qualifying Participant cannot be contacted, fails to return any required documents within the specified time period, or if a notification is returned as undeliverable, the qualifying Participant forfeits the Reward and Sponsor shall have no further obligation to fulfill the Reward to that Participant.  Each Reward is awarded "as is" with no warranty or guarantee, express or implied, by Sponsor. The Reward is not exchangeable for cash and is non-refundable and non-transferable. The Reward is supplied by Navan, which reserves the right to substitute a similar Reward of equal or greater value at any time and for any reason. 7. Taxes. ALL FEDERAL, STATE, AND LOCAL TAXES AND ANY OTHER COSTS AND EXPENSES ASSOCIATED WITH THE ACCEPTANCE AND USE OF ANY REWARD ARE THE SOLE RESPONSIBILITY OF THE QUALIFYING PARTICIPANT. Qualifying Participants may be required to provide a valid taxpayer identification number and to complete IRS Form W-9 or equivalent tax documentation before Reward fulfillment.

8. Release of Liability. By participating in the Promotion (including by acceptance of the Reward), each Participant agrees to release and hold harmless Navan, its subsidiaries, affiliates, advertising and promotion agencies, suppliers, and each of their respective officers, directors, employees, agents, and representatives from all claims, damages, losses, costs, expenses, or liability (including reasonable attorneys' fees) arising out of or relating to: (a) participation in the Promotion or any Promotion-related activity; (b) acceptance, possession, use, misuse, or nonuse of the Reward; (c) any injury, death, damage, or loss to person or property that may occur in connection with the Promotion or Reward; and (d) any goods or services purchased using the Reward.

9. Disclaimers and Limitations. This Promotion is not associated with any third-party provider of services, including travel service providers. Navan disclaims any warranty, representation, or guarantee, express or implied, regarding the Reward, including its quality, merchantability, fitness for a particular purpose, or condition. Navan assumes no responsibility for any services provided by third parties, including any cancellations, expenses, loss, or tax liability in conjunction with this Promotion or the use of the Reward. Navan is not responsible for Reward notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for any technical malfunctions, failures, difficulties, or other errors. Navan assumes no responsibility for: (a) any incorrect or inaccurate information, whether caused by Participants, printing errors, or by any equipment or programming associated with the Promotion; (b) unauthorized human intervention in any part of the Promotion; or (c) technical or human error in the administration of the Promotion or processing of Qualifying Bookings.

10. Sponsor's Reserved Rights. Sponsor reserves the right, in its sole discretion, to: (i) disqualify any individual who tampers with the Promotion in any way, the operation of the Promotion, or any website associated with the Promotion, or who acts in an unsportsmanlike or disruptive manner, or who annoys, abuses, threatens, or harasses any other Participant or Sponsor representative; (ii) seek damages and other remedies from any such person to the fullest extent permitted by law; and (iii) modify, extend, suspend, or terminate the Promotion, in whole or in part, at any time and for any reason, including if Sponsor determines that the Promotion is technically impaired or corrupted, or that fraud, technical problems, or other causes beyond Sponsor's reasonable control have impaired the integrity, administration, security, or proper functioning of the Promotion. In the event of termination, Sponsor may, in its sole discretion, determine qualifying Participants from among all eligible, non-suspect entries received prior to the event requiring termination. If Sponsor is prevented from administering the Promotion or awarding the Reward by any event beyond its reasonable control, including fire, flood, epidemic, earthquake, explosion, labor dispute, act of God or public enemy, equipment failure, riot, civil disturbance, terrorist activity, war (declared or undeclared), any federal, state, or local government law, order, or regulation, public health emergency, or court order, Sponsor shall have the right to modify, suspend, or terminate the Promotion.

11. Fraud. Navan reserves the right to investigate and take appropriate action (including disqualification and Reward revocation) against any Participant who Navan believes, in its sole discretion, has (i) created multiple accounts or identities to receive more than one Reward, (ii) used false or misleading information to complete the Qualifying Booking, or (iii) otherwise attempted to manipulate or abuse the Promotion.

12. Dispute Resolution and Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Promotion shall be resolved individually, without resort to any form of class action, and exclusively in the federal or state courts located in Santa Clara County, California. By participating, each Participant consents to the personal jurisdiction and venue of such courts.

13. Privacy. Your participation in the Promotion and any information you provide (including names, email addresses, physical addresses, and account information) is governed by our Privacy Policy, which is incorporated into these Terms by reference. 14. General. These Terms cannot be modified or amended except in a writing signed by an authorized representative of Navan. If any provision of these Terms is determined to be invalid, unenforceable, or illegal, the remaining provisions shall remain in full force and effect. Navan's failure to enforce any provision of these Terms shall not constitute a waiver of that provision. Section headings are for convenience only and do not affect interpretation.
