These Terms and Conditions (“Terms”) govern the First Active Admin (Hotels) Promotion (“Promotion”). Navan Inc. (“Navan”) will reward eligible, administrator users for new Small Business Customers who are the first administrator users for their company (“Participants”) the equivalent value of 500 USD in Navan Rewards Points (“Rewards”) after any user(s) at Participant’s company makes at least one (1) Qualified Business Booking on the Navan platform within thirty (30) days of signing up for Navan and completes the relevant stay. “Small Business Customer” means a corporate customer with no more than 200 employees who signs up for Navan via Navan’s online sign-up portal. A “Qualified Business Booking” means a hotel booking made on Navan’s business travel platform with a minimum, total cost of at least 100 USD. Navan Rewards Terms and Conditions apply. The Rewards can be used to book eligible prepaid hotels on Navan’s personal travel platform. The Rewards are not exchangeable for cash, non-refundable, and non-transferable. To the extent a currency conversion is required for the Rewards, the conversion will be undertaken the date the Rewards are redeemed, at the exchange rate applicable at that time. Participants are responsible for the entire cost of the bookings, including, but not limited to, applicable federal, state and local taxes, transportation costs, meals, gratuities, and all other additional costs incurred. Navan Rewards apply only to the base rate and do not apply to any taxes, fees, or other charges, including any additional fees charged directly by the travel supplier at the time of travel or stay.
Participation. Only the first administrator user of each new Small Business Customer customer is eligible to receive the Rewards, and only one eligible Participant per Small Business Customer will be given the Rewards. By participating in the Promotion (including by accepting the Rewards, you agree to be bound by these Terms and by the decisions of Navan, which are final and binding on all matters. Navan reserves the right to modify the Rewards procedures at any time at its discretion. If you do not agree to these Terms, you may not participate in the Promotion, nor receive the Rewards.
Eligibility. To be eligible for the Promotion, Participants must (i) be 18 years of age at the time of sign-up, (ii) reside in the United States or the United Kingdom, and (iii) be the first administrator user of its company. Employees of Navan, its subsidiaries and affiliates, or promotional agencies, are not eligible. The Promotion is void where prohibited, and all applicable federal, state, and local laws and regulations apply. If a Participant does not meet the foregoing requirements or any other eligibility requirements or fails to comply with these Terms, the Participant is not eligible to receive the Rewards and Navan reserves the right not to give the Rewards.
Receipt of Rewards. Eligible Participants will receive 500 USD of Navan Reward Points or, when applicable, the equivalent amount in Participant’s local currency, in their Rewards balance after the Qualified Business Bookings have been made and completed.. Navan reserves the right to substitute the Rewards with another similar reward or gift card of equal or greater value.
Disclaimer. This Promotion is not associated with any third-party provider of travel services. Navan disclaims any warranty, representation, or guarantee, express or implied relative to the Rewards, including their quality, fitness for purpose, or condition. Navan assumes no responsibility for any services provided by third parties, including any cancellations, expenses, loss, or tax liability in conjunction with this Promotion or the use of the Rewards. ALL FEDERAL, STATE, AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY REWARD ARE THE SOLE RESPONSIBILITY OF THE WINNER.
Indemnity. By participating in the Promotion (including by acceptance of the Rewards), Participants acknowledge compliance with these Terms and Conditions and agree to release and hold Navan harmless from and against any claim or cause of action (and any associated costs, losses, or damages) arising in whole or in part out of participation in the Promotion or the receipt, redemption, or use of the Rewards, including any death, injuries or damages of any kind sustained in connection with the use, acceptance, possession or awarding of any Rewards (or any goods or services purchased using the Rewards).
Disclaimer; Promotion Termination. Navan is not responsible for the Rewards notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for any technical malfunctions, failures, difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Navan reserves the right, in its sole discretion, to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion, or who annoys, abuses, threatens, or harasses any other person. Navan reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Navan further reserves the right to modify, extend, suspend, or terminate the Promotion in its sole discretion, at any time or for any reason, including, in whole or in part, if it determines that the Promotion is technically impaired or corrupted or that fraud or technical problems, failures or malfunction, or other causes beyond Navan’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, or feasibility of the Promotion or, when applicable, particular selection of a Promotion winner as contemplated herein. In the event Navan is prevented from giving the Rewards or continuing with the Promotion or a particular selection of a Promotion winner when applicable as contemplated herein by any event beyond its control including to fire, flood, natural or man-made epidemic of health, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court of jurisdiction, or other cause not reasonably within Navan’s control, then subject to any governmental approval which may be required, Navan shall have the right to modify, suspend, or terminate the Promotion in its entirety.
Privacy. Your participation in the Promotion and any information you provide (including but not limited to names, email addresses, physical addresses, and account information) is governed by our Privacy Policy, which is incorporated into these Terms by reference. General. These Terms cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Navan. The invalidity or unenforceability of any provision of these rules shall not affect the validity of enforceability of any provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Promotion is governed by the laws of the State of California and is subject to all applicable federal, state, and local law regulations.
