These Terms and Conditions (“Terms”) govern the 2024 New Year Promotion (“Promotion”). Navan Inc. (“Navan”) will award company administrator users (“Participant”), after the administrator’s company has any user book a business travel booking between February 1, 2024 and February 29, 2024 (“Promotion Period”) and such user completes the business travel in the 2024 calendar year, to receive the amount of Navan Rewards uniquely displayed to participant. (“Reward”). Navan Rewards Terms and Conditions apply to the Reward, and the Reward is not exchangeable for cash, non-refundable, and non-transferable. There is a maximum of 250 Rewards available under this Promotion, awarded on a first-come, first-served basis after the qualifying business booking has been completed.
Participation. Only companies with 250 or fewer employees may participate in this Promotion. By participating in the Promotion (including by accepting the Reward), you agree to be bound by these Terms and Conditions and by the decisions of Navan, which are final and binding on all matters. Navan reserves the right to modify the Reward procedures at its discretion. If you do not agree to these Terms and Conditions, you may not participate in the Promotion, nor receive the Reward.
Promotion Period. The Promotion Period starts at 12:00 a.m. Pacific Time (“PT”) on February 1st, 2024 and ends at 11:59 p.m. PT on February 29, 2024. Navan’s computer is the official time-keeping device for the Promotion Period.
Eligibility. To be eligible for the Promotion, Participants must (i) be 18 years of age at the time of opting into the promotion, (ii) reside in the United States, and (iii) be the first administrator user of a Navan company account. Employees of Navan, its subsidiaries and affiliates, or promotional agencies, are not eligible. The Promotion is void where prohibited, and all applicable federal, state, and local laws and regulations apply. If a Participant does not meet the foregoing requirements or any other eligibility requirements or fails to comply with these Terms & Conditions, the Participant is not eligible to receive the Reward and Navan reserves the right not to award the applicable Reward. The Reward will be forfeited by the winner and Navan may conduct a subsequent random drawing and award the Reward to the next selected winner.
Receipt of Reward. The Participants will receive the Reward in their Navan account within fourteen (14) days after the qualifying business travel booking is completed. Navan reserves the right to substitute the Reward with another similar reward or gift card of equal or greater value.
Disclaimer. This Promotion is not associated with any third-party provider of travel services. Navan disclaims any warranty, representation, or guarantee, express or implied relative to the Reward, including their quality, fitness for purpose, or condition. Navan assumes no responsibility for any services provided by third parties, including any cancellations, expenses, loss, or tax liability in conjunction with this Promotion or the use of the Reward. ALL FEDERAL, STATE, AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF ANY REWARD ARE THE SOLE RESPONSIBILITY OF THE WINNER.
Participant Responsibilities. Participants may be required to complete a W9 tax form for the sole purpose of preparation of any tax forms as required by law.
Use of Entries and Associated Name and Likeness. Except where prohibited by law, by accepting the Reward, Participants hereby grant Navan, its agents and licensees, the irrevocable, sublicensable, royalty-free right and license to reproduce, publish, transmit, distribute, create derivative works from and otherwise use winner’s image or likeness, name, biographical information, and any supplied content or materials (“Content”) for marketing public relations, or other promotional purposes, in perpetuity, throughout the world, in all media formats now or later known or developed, without further notice or compensation therefore.
Representations; Indemnity; Release. By participating in the Promotion (including by acceptance of the Reward), Participants acknowledge compliance with these Terms and Conditions and agree to release and hold Navan harmless from and against any claim or cause of action (and any associated costs, losses, or damages) arising in whole or in part out of participation in the Promotion or the receipt, redemption, or use of the Reward, including any death, injuries or damages of any kind sustained in connection with the use, acceptance, possession or awarding of any Reward (or any goods or services purchased using the Reward).
Disclaimer; Promotion Termination. Navan is not responsible for the Reward notifications or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for any technical malfunctions, failures, difficulties, or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Navan reserves the right, in its sole discretion, to disqualify any individual who is found to be tampering with the entry process or the operation of the Promotion, or who annoys, abuses, threatens, or harasses any other person. Navan reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Navan further reserves the right to modify, extend, suspend, or terminate the Promotion, in whole or in part, if it determines, in its sole discretion, that the Promotion or any particular, selection of a winner is technically impaired or corrupted or that fraud or technical problems, failures or malfunction, or other causes beyond Navan’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, or feasibility of the Promotion or particular selection of a Promotion winner as contemplated herein. In the event Navan is prevented from awarding the Reward or continuing with the Promotion or a particular selection of a Promotion winner as contemplated herein by any event beyond its control including to fire, flood, natural or man-made epidemic of health, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court of jurisdiction, or other cause not reasonably within Navan’s control, then subject to any governmental approval which may be required, Navan shall have the right to modify, suspend, or terminate the Promotion in its entirety.
Privacy. Your participation in the Promotion and any information you provide (including but not limited to names, email addresses, physical addresses, and account information) is governed by our Privacy Policy, which is incorporated into these Terms by reference. General. These Terms cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Navan. The invalidity or unenforceability of any provision of these rules shall not affect the validity of enforceability of any provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. The Promotion is governed by the laws of the State of California and is subject to all applicable federal, state, and local law regulations.
