These Referral Terms and Conditions (“Referral Terms”), together with our Terms of Service, our Privacy Policy, and Notice of Financial Incentive - For California Residents Only in our USA Privacy Policy, govern your participation in the referral program (“Referral Program”) offered by Navan, Inc. (“Navan”, “we”, “us” or “our”) to current users of Navan’s services who make a referral (a “Referring Customer”) to eligible first-time Navan customers (“Referees”). Upon completion of the obligations set forth in these Referral Terms, both the Referring Customer and the Referee will be eligible to receive a reward with an approximate value of $500 USD, or such other amount communicated to the Referring Customer by Navan, in the form of Navan Rewards (“Reward”), which may be used to book personal travel on the platform or mobile application owned by Navan (the “Navan App”).
REQUIREMENTS FOR REFERRING CUSTOMER
To be eligible for the Reward, Referring Customers must: (i) send a valid referral link to the Referee, and (ii) not be a customer-facing employee, legal representative, or partner of Navan or of any affiliate of Navan.
REQUIREMENTS FOR REFEREE
To be eligible for the Reward, Referees must: (i) be at least 18 years old (or older if the individual resides in a state where the majority age is older), (ii) be employed at a company that is not an existing corporate customer of Navan, (iii) be authorized by their employer to control an administrative user account to access Navan’s services, (iv) receive a valid referral link directly from the Referring Customer and follow the link to register for a Navan administrative user account, and (v) make and complete three (3) travel bookings on the Navan App. Referees are not eligible to receive more than one Reward as a Referee within any 12-month period.
REFERRAL PROGRAM DETAILS
The Reward will be made available to the Referring Customer and the Referee in their respective user profiles on the Navan App after the qualifying bookings are completed. The Reward is: (i) non-transferable, (ii) not redeemable for cash, and (iii) can only be redeemed in the Navan App in the form and value determined by Navan for each qualifying booking. Any and all Rewards earned under this Referral Program are subject to our Navan Rewards Terms and Conditions. The Reward cannot be applied retroactively and cannot be applied after Referee has begun signing up for Navan services outside of a referral link. Any tax liabilities, local requirements, or fees resulting from the Reward are the responsibility of the Referring Customers and Referees or their respective employers. Users who are affiliated with government bodies or who are prohibited by law from receiving Rewards are not eligible to participate in the Rewards Program.
GENERAL
Referral links should be shared from one person to another. Commercializing, advertising, selling or paying or offering incentives for use of referral links is prohibited, and Navan will not honor referral links associated with such behavior or that otherwise violates these Referral Terms. Navan will not provide any Rewards, and Users are not permitted to participate in this Referral Program, where doing so would be in violation of any international sanctions, trade restrictions or legal requirements. Additionally, Navan may withhold the Reward where we believe Referring Customers or Referees are acting in bad faith or otherwise acting contrary to the intent of this Referral Program.
Nothing in the Referral Program shall be deemed to create any kind of relationship between the Referring Customer and Navan or any of Navan’s affiliates. The Referring Customer has no authority to represent or bind Navan.
Navan reserves the right to modify, suspend, or terminate the Referral Program at any time, without notice, for any reason. We also reserve the right to cancel any Rewards that are not used prior to the termination of the Referral Program at no fault of Navan’s, and the right to modify these Referral Terms at any time by updating the terms on our website, and such modified Referral Terms will take effect at the time of the update.
We are not liable for any errors, omissions, interruptions, or delays in the Referral Program, and are not liable for any damages, including, but not limited to, incidental, consequential, or punitive damages arising out of or in connection with the Referral Program.
These Referral Terms and all matters arising out of or relating to these Referral Terms are governed by the Federal Arbitration Act, federal arbitration law, and the laws of the State of California.
If any provision of these Referral Terms is unlawful, void, or unenforceable, then that provision will be deemed severable from the remaining provisions and will not affect their validity and enforceability. The failure by Navan to enforce any provision in these Referral Terms will not constitute or be construed as a waiver of such provision or of the right to enforce it at a later time.
Navan may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your participation in the Referral Program, or to identify, contact, or bring legal action against Navan’s rights or property of visitors to or users of the Services or Referral Program, including Navan’s customers. Navan reserves the right at all times to disclose any information that Navan deems necessary to comply with any applicable law, regulation, legal process, or governmental request. Navan may also disclose your information when Navan determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
